The Munich-based site is stronger than the previous takeover candidate, Farfetch. Negotiations broke down after the latter was taken over by Korea&#8217;s Coupang.<\/h4>\n<p><!--more--><\/p>\n<p>&nbsp;<\/p>\n<p><b><strong>Mytheresa<\/strong><\/b> removes a thorn from <b><strong>Richemont&#8217;<\/strong><\/b>s side.<\/p>\n<p>&nbsp;<\/p>\n<p>The <b><strong>German luxury e-commerce specialist<\/strong><\/b> has signed <b><strong>an agreement to buy the YNAP (Yoox Net-\u00e0-Porter) platform,<\/strong><\/b> which the Swiss group has been trying to dispose of for several years.<\/p>\n<p>&nbsp;<\/p>\n<p>The aim? \u201cto<b><strong>create a leading multi-brand digital luxury group<\/strong><\/b> with global reach, offering luxury enthusiasts around the world a highly specialized and differentiated selection of the most prestigious luxury brands and products\u201d, explain Richemont and Mytheresa in a <b><strong>press release published on October 7.<\/strong><\/b><\/p>\n<p>&nbsp;<\/p>\n<p>The terms and conditions? \u201c<b><strong>Richemont will sell YNAP to Mytheresa with cash of \u20ac555 million<\/strong><\/b> and no financial debt, subject to customary closing adjustments.\u201d Richemont will also provide YNAP with a<b><strong> \u20ac100<\/strong><\/b> million, six-year revolving <b><strong>credit facility.<\/strong><\/b><\/p>\n<p>&nbsp;<\/p>\n<h2>Strapontin in luxury e-commerce<\/h2>\n<p>&nbsp;<\/p>\n<p>But the<b><strong> Swiss group<\/strong><\/b> will retain a foothold in multi-brand luxury e-commerce, as <b><strong>Mytheresa will issue shares representing 33% of its<\/strong><\/b>fully diluted <b><strong>share capital<\/strong><\/b>.<\/p>\n<p>&nbsp;<\/p>\n<p><b><strong>Richemont<\/strong><\/b> will also have the<b><strong> right to appoint one member and one observer to Mytheresa&#8217;s supervisory board<\/strong><\/b> following the<b><strong> closing of the transaction<\/strong><\/b>. Which \u201cis expected in the <b><strong>first half of 2025,<\/strong><\/b> subject to customary conditions, including regulatory approvals\u201d.<\/p>\n<p>&nbsp;<\/p>\n<p>According to <b><strong>Fashion Network<\/strong><\/b>, prior to Mytheresa, other<b><strong> takeover candidates &#8211; Bain Capital and Permira &#8211;<\/strong><\/b> had come forward before<b><strong> throwing in the towel in the face of YNAP&#8217;s declining performance,<\/strong><\/b> with losses growing in inverse proportion to sales. And after several months of negotiations, the <b><strong>tie-up signed with Farfetch<\/strong><\/b> in mid-2022 <b><strong>finally stalled at the end of 2023<\/strong><\/b>, following the London-based platform&#8217;s difficulties and its <b><strong>takeover by Korean company Coupang<\/strong><\/b>&#8230;<\/p>\n<p>&nbsp;<\/p>\n<h2>Wind in the sails<\/h2>\n\n<p>&nbsp;<\/p>\n<p>For its part, <b><strong>Mytheresa is on a roll.<\/strong><\/b> The online retailer<b><strong>, listed on the New York Stock Exchange<\/strong><\/b>, posted <b><strong>record sales, up almost 10%<\/strong><\/b> to 840.9 million euros in <b><strong>the 2023-2024 financial year<\/strong><\/b> ended June 30.<\/p>\n<p>&nbsp;<\/p>\n<p>The site, which ships <b><strong>ready-to-wear, accessories, jewelry and luxury lifestyle products to over 130 countries<\/strong><\/b>, also<b><strong> significantly improved its profitability.<\/strong><\/b> Its adjusted EBITDA margin reached 4.3% in the second half of 2023-24, compared with 1.7% in the first half.<\/p>\n<p>&nbsp;<\/p>\n<p>By setting itself apart from the currently battered luxury goods market, Mytheresa was able to finalize its transaction agreement with Richemont at just the right time.<\/p>\n<p>&nbsp;<\/p>\n<p>\u201c <b><strong>We are one<\/strong><\/b> <b><strong>of the few digital platforms<\/strong><\/b>, if not the only one, <b><strong>to have succeeded in growing profitably&#8221;<\/strong><\/b> <b><strong>, emphasized Michael Kliger, CEO of Mytheresa<\/strong><\/b><b><strong>.<\/strong><\/b><\/p>\n<p>&nbsp;<\/p>\n<h2>Spin-off<\/h2>\n<p>&nbsp;<\/p>\n<p>However, Mytheresa intends to<b><strong> separate YNAP&#8217;s loss-making \u201coff-price\u201d division, comprising Yoox and the Outne<\/strong><\/b><strong>t<\/strong>, selling previous seasons&#8217; collections at discounted prices, <b><strong>from its profitable luxury division, namely Net-a-Porter and MR PORTER\u201d <\/strong><\/b>, which offer luxury items without discount.<\/p>\n<p>&nbsp;<\/p>\n<p>The<b><strong> \u201coff-price\u201d division indeed \u201cneeds a simpler<\/strong><\/b>, more efficient<b><strong> operating model<\/strong><\/b> to drive further growth and profitability\u201d says Michael Kliger.<\/p>\n<p>&nbsp;<\/p>\n<p>Mytheresa also intends to <b><strong>integrate \u201cYNAP&#8217;s luxury division into Mytheresa<\/strong><\/b>, to form a group with<b><strong> three distinct storefronts:<\/strong><\/b> <b><strong>MYTHERESA, NET-A-PORTER and MR PORTER<\/strong><\/b>\u201d. According to Mytheresa&#8217;s CEO, this would enable the group to offer customers \u201c<b><strong> differentiated but complementary multi-brand luxury services,<\/strong><\/b> based on selection, inspiration and unrivalled customer service.<\/p>\n<p>&nbsp;<\/p>\n<p>Luxury brand partners, for their part, would benefit from \u201c<b><strong> even broader and more specific access to luxury consumers worldwide<\/strong><\/b>, thanks to distinctive curation and inspiration\u201d.<\/p>\n<p>&nbsp;<\/p>\n<h2>Synergies and limits<\/h2>\n<p>&nbsp;<\/p>\n<p>Finally, \u201c<b><strong>the three brands will share a large part of their infrastructure<\/strong><\/b>, which will create synergies and efficiency gains, while retaining their respective identities\u201d, Michael Kliger points out. The press release also highlights the added value of Mytheresa&#8217;s \u201ctechnological platform\u201d and \u201coperational best practices\u201d.<\/p>\n<p>&nbsp;<\/p>\n<p>However, some players are questioning the <b><strong>limits of such a complementary integration<\/strong><\/b>, given that Mytheresa, Net-A-Porter and Mr Porter have<b><strong> customers and brands in common.<\/strong><\/b> They also suggest that such a merger could lead to salary cuts&#8230;<\/p>\n<p>&nbsp;<\/p>\n<p>Finally, once the transaction is completed, Mytheresa <b><strong>will eliminate YNAP&#8217;s \u201cwhite label\u201d division,<\/strong><\/b> which managed the online stores of the Richemont Houses, which are expected to decide to join other platforms.<\/p>\n<p>&nbsp;<\/p>\n<p>Michael Kliger and his teams believe \u201cthat this transaction will create<b><strong> significant value<\/strong><\/b> for our shareholders, our partner brands and, above all, our high-end customers\u201d.<\/p>\n<p>&nbsp;<\/p>\n<h2>A real challenge<\/h2>\n<p>&nbsp;<\/p>\n<p><b><strong>Johann Rupert, Chairman of Richemont,<\/strong><\/b> is no doubt of the same opinion. He believes that <b><strong>&#8220;Mytheresa is ideally placed to build on YNAP&#8217;s strengths<\/strong><\/b> to continue delighting customers and partner brands worldwide by leveraging the respective strengths of both companies.\u201d<\/p>\n<p>&nbsp;<\/p>\n<p>However, this merger is taking place in a <b><strong>difficult environment<\/strong><\/b>, which has severely shaken the success stories of the past. <b><strong>In addition to Farfetch, MatchesFashion was acquired by Frasers Group,<\/strong><\/b> which shortly afterwards placed it under administration and <b><strong>closed it down<\/strong><\/b> after realizing that it would be too expensive to relaunch!<\/p>\n<p>&nbsp;<\/p>\n<p>\u201cMytheresa has proved to be a survivor in all this drama and has emerged when its competitors are now more likely to be online boutiques attached to physical stores (such as Selfridges, Flannels, Printemps, etc.) rather than pure-players\u201d notes <b><strong>Fashion Network.<\/strong><\/b><\/p>\n<p>&nbsp;<\/p>\n<p>By acquiring a company larger than itself, and against the backdrop of a very confused luxury market, <b><strong>Mytheresa is taking on a real
